Our services include forming new physician groups, assisting groups in drafting compensation and severance policies, and addressing governance issues. In connection with our representation of physician groups we draft employment agreements, stock transfer restriction agreements, by-laws and operating agreements.  Our attorneys also provide business expansion solutions through creative joint venture agreements involving different physician specialists and between those specialists and hospitals to meet the needs of payors and patients.

Our experience includes advising and negotiating matters related to compensation, professional liability coverage, tail coverage, restrictive covenants, indemnification, termination, buy-ins and buy-outs, valuations, on-call coverage, licensure, and credentialing.  We have significant experience in drafting and modifying physician compensation plans, which involves careful structuring to ensure that ancillary revenues are distributed in accordance with Stark rules.

We also represent physicians in their business deals with hospitals. We have developed particular experience in drafting and negotiating exclusive contracts for in-hospital based physicians. These relationships are multi-faceted and involve a number of legal and business issues. We assist physicians in identifying and resolving critical issues in the exclusive relationship, including the definition of exclusivity, agreements on managed care contracting, defining call coverage and service levels, and negotiating stipends and medical directorships. We also assist physicians and physician groups in structuring recruitment agreements.
